What the company faced.

A technology company was to be separated from a listed owner, broaden its shareholder base, strengthen its working capital and be admitted to trading on Nasdaq First North. The ownership distribution, directed issue and listing process had separate resolutions and conditions but were also interdependent. The company also needed governance and disclosure processes capable of operating independently after admission.

  • Preparation of disclosure policy, insider procedures, financial calendar and publication readiness before trading began.

04 · Execution

How the process stayed aligned.

The process was managed through a master timetable with separate tracks for corporate law, capital, ownership distribution, the company description and the marketplace. One fact base fed all documents and was updated whenever terms or figures changed. Every open listing condition was assigned an owner, supporting evidence and a deadline. Before the first trading day, a dedicated closing verified the share count, registrations, distribution requirements, publications and internal procedures.

05 · Outcome

What actually happened.

The company completed the ownership distribution and capital raise and was subsequently admitted to trading on Nasdaq First North. Delivery covered not only the first day of trading but also the transition to a functioning listed organisation with its own disclosure capability and clearly assigned continuing responsibilities.
