What the terms determine
The terms state how many shares each warrant carries, the exercise price and period, and adjustment mechanics for events such as splits, dividends or new issues. If the share price is below the exercise price, the warrant will normally have no immediate exercise value. Exercise increases the number of shares and dilutes existing shareholders.
Warrants are used both for financing and incentive programmes. In a capital raise they may be issued with shares as a unit, creating potential future proceeds. In an incentive plan they often align employees, executives or directors with long-term value. Tax, valuation, transfer restrictions and participant funding can be as important as the corporate issue itself.
Approval and administration
The Swedish Companies Act requires a proper issue resolution and complete terms. Any deviation from shareholders’ pre-emption rights needs a valid rationale and the correct majority. Additional related-party and marketplace rules may apply to public or listed companies. After approval, the company must manage certificates or book-entry registration, holders, vesting, adjustments, exercise periods and registration of new shares. A warrant register is a living control document, not an appendix to archive after the meeting.
