01How long does a Spotlight listing take?

Spotlight describes a typical admission process as approximately four to six months. Actual timing depends on readiness, any fundraising, financial history and the work needed on structure and documentation. An internal preparation phase may be required before that formal period.

02What distribution requirements apply?

Spotlight publishes current requirements for free float and shareholder numbers. They should be checked in the rulebook when the transaction is planned. The distribution should also support practical trading rather than merely achieve a minimum threshold.

03Must the company be public?

Yes. The corporate form, articles and share administration must be suitable for public trading. Conversion to a public company should be coordinated with other shareholder resolutions, any issue, Euroclear and the listing documentation.

04Does MAR apply on Spotlight?

Yes. MAR also covers instruments traded on multilateral trading facilities. The company must identify and manage inside information, document delayed-disclosure decisions where relevant and publish information correctly and promptly.
