What the company faced.

A First North-listed company needed to place several strategic decisions before the same annual general meeting. They covered capital raising, amendments to the articles, distribution of ownership in a subsidiary and incentive programmes. Several resolutions were conditional on one another and required different majorities, statutory documents and separate market communications.

The scope below describes the public and high-level elements of the assignment.

  • A resolution map linking each agenda item to its legal basis, majority, schedules and subsequent registration.
  • Notice, board proposals, reports, issue terms, warrant terms and other shareholder materials.
  • Review of conditional resolutions and the correct sequence of amendments, issues and transfers.
  • Coordination of auditor statements, valuation materials and statutory document-availability periods.
  • Announcements before and after the meeting distinguishing adopted actions from steps that remained conditional.
  • Chair script, voting list, majority checks, minutes, registrations and the post-meeting execution list.

04 · Execution

How the process stayed aligned.

Each resolution had its own document chain, while all chains were controlled through one resolution map. It identified dependencies, availability requirements, applicable majorities and post-meeting action. A point-by-point chair script and majority check were used during the meeting. Afterwards, registration, publication and implementation steps were transferred into a closing list.

05 · Outcome

What actually happened.

The meeting was able to address and resolve the parallel transaction tracks with clear records of conditions and majorities. Minutes, market communications and registration steps could then be completed without mixing the resolutions or losing their dependencies.
